CONFIDENTIAL INFORMATION

Vendor recognizes that he will be given access to valuable propriety information or drawings, which is developed, complied and utilized by ***. in its business and which is designated as confidential or secret, or is of a confidential nature which is required to be maintained as such for the continued success of its business. This agreement will remain effective until such time as such confidential information or drawings shall have properly become public. He shall take all steps to ensure that no item of confidential information or drawing is disclosed to any third party or used for his benefit of any third party. Vendor shall not directly approach ECHELON without written authorization from Q-Value Add Sdn. Bhd.

REMEDIES

A breach or threatened breach of the provisions of the Agreement may give rise to irreparable injury, inadequately compensable in damages and, accordingly, each party agrees that the damaged party may seek and obtain injunctive relief against such breach or threatened breach, in addition to any other legal remedies which may be available, including the recovery from the other party of monetary damages, reasonable attorney’s fees and costs of the action.



IN WITNESS WHEREOF, the parties have executed this Agreement on the date first set forth above.

保密资料
卖方明白其获准接触的那些有价值且正当（合法）的资料和图纸是由xxx在其业务运作中所开发、依循并使用的；这些资料和图纸被认定为机密或秘密，或者其本身具有为后续生意的成功而被要求保守的机密特性。本协议有效期将持续至这些机密的资料和图纸可完全公开之日止。签约各方须采取一切步骤确保该机密的资料和图纸不被泄露给第三者或基于第三方的利益而被使用。卖方在没有得到Ｑ－Value..书面授权之前不可直接接触ECHELON。

赔偿方法
由于对协议条款的违反或极有可能的违反会引发不可挽回的损失或造成对损失无法给予充分的补偿，因此各方同意：受损一方对这些违反行为或极可能的违反行为可寻求并采取强制性的法律补救措施以及任何其它可行的法律补偿行动，这其中包括从金钱损失的其它方所获得的补偿，以及因采取法律行动而产生的合理律师费和成本费用。
兹证明：各方已于上述首次订立之日起开始执行本协议。
